Tax Exempt Organizations
Nonprofit and tax exempt organizations serve many different purposes. If you are interested in legal representation for an association, please also see Associations.
Nonprofit and tax exempt organizations may be created as foundations, public or private charities, educational institutions, religious organizations, civic leagues, unions, social clubs, voluntary employees' beneficiary associations and other qualifying organizations. In each case, special corporate and tax issues apply to these organizations.
Nonprofit Corporation Law - The Michigan Nonprofit Corporation Act governs corporations that are organized on a not-for-profit basis.
If you need assistance establishing a nonprofit corporation, Fraser Trebilcock's attorneys will help you determine which governance structure will work best for you and suggest appropriate limitations from liability for directors, officers and volunteers. They will also draft the following documents: Articles of Incorporation, Bylaws, Minutes of the Incorporator, Minutes of the Organizational Meeting of the Board of Directors, Application for Employer Identification Number, ethics, antitrust and conflict of interest policies.
Our Firm offers counseling on how to effectively run member and board of directors meetings, understand directors' duties and liabilities, deal with conflicts of interest, antitrust issues and manage member demands and conflicts.
